Terms of service

These Terms govern access to and use of EDCRM.AI services supplied by Euro Digital Technologies LLC. The customer's signed order form, proposal or subscription confirmation, these Terms, any applicable data-processing terms and any service-specific schedule together form the agreement. If there is a conflict, the signed order form or service schedule takes priority for the conflicting commercial term.

Subscriptions are billed in advance for the billing period shown on the order. Unless an annual or fixed-term order states otherwise, the EDCRM.AI retail model is month-to-month. The customer must keep valid billing details on file and pay invoices by the due date. Taxes, duties and bank or payment-provider charges are additional where applicable.

Usage-based services such as WhatsApp, SMS, telephone, email overages and selected AI functions may be billed separately from the subscription. Rates can vary by destination, provider and service category and may change when upstream providers change their rates. Current usage charges or the method for calculating them will be shown in the order, rate card or account billing information.

The customer must use EDCRM.AI lawfully and must not use the service for spam, unlawful surveillance, fraud, harassment, prohibited content, deceptive practices, unauthorised access, malware, infringement of third-party rights or communications sent without required consent. The customer is responsible for its users, contact permissions, messaging opt-ins and compliance with applicable telecommunications, privacy, advertising and industry rules.

As between Euro Digital and the customer, the customer retains its rights in data it uploads to or processes through EDCRM.AI. The customer is responsible for having a lawful basis and any required notices or consents for that data. Euro Digital and its platform/service providers may process customer data only as needed to provide, secure and support the service, comply with law and as otherwise set out in the agreement and privacy documentation.

EDCRM.AI depends on third-party cloud, telecommunications, messaging, payment and platform providers and may occasionally be unavailable for maintenance, incidents or provider outages. Euro Digital will use commercially reasonable efforts to restore affected services and communicate material incidents. No specific uptime or resolution-time SLA applies unless it is expressly included in the customer's signed order or service schedule.

Either party may terminate a month-to-month subscription by giving notice before the next renewal date, with termination taking effect at the end of the paid billing period, unless the order states otherwise. Euro Digital may suspend or terminate access for non-payment, unlawful use, security risk or material breach. Accrued fees and usage charges remain payable. Data export and post-termination handling are subject to the agreement and platform capabilities.

To the maximum extent permitted by applicable law, neither party should be liable for indirect, incidental, special or consequential loss, loss of profit, revenue, goodwill or anticipated savings arising from the service. Any agreed cap on direct liability, and any exclusions that cannot legally be limited, should be stated in the signed agreement.

The agreement is governed by the laws of the United Arab Emirates as applied in the Emirate of Abu Dhabi. The courts of Abu Dhabi have jurisdiction, unless the signed order expressly provides for another forum or dispute-resolution process.
